Terms of sale

1. Scope
These terms govern the subscription to and use of the V-Shield online security service for WordPress and PHP websites, sold on v-shield.net, to business customers and consumers. Placing an order implies acceptance of the terms in force on the order date.
2. Seller
SADE INVEST GROUP, a French simplified joint-stock company (SAS), registered office 3 rue Desirat, 31350 Boulogne-sur-Gesse, France, RCS Toulouse 103 962 809, represented by its president Emmanuel Daunizeau. Contact: contact@v-shield.net.
3. Service
V-Shield is offered as three annual plans (Essential, Pro, Business) described on the Pricing page on the order date: site agent (WordPress plugin or PHP agent), automatic scans, file analysis on V-Shield servers, cleanup and reversible quarantine, application firewall, updates with rollback, off-site backups, uptime and SSL monitoring, email alerts, client portal and reports, depending on the plan.
4. Order
The customer selects a plan, enters an email address and the site address, accepts these terms and pays online. The order is final once payment is confirmed; a confirmation email with installation instructions is sent.
5. Price and payment
Prices are in euros. Applicable VAT is calculated and shown before payment is confirmed. The subscription is paid yearly in advance by card through our payment provider Stripe; SADE INVEST GROUP never sees card numbers. Invoices are available in the customer area.
6. Term, renewal and cancellation
The subscription runs for one year from payment and renews automatically for one-year periods at the then-current price unless cancelled. Consumers receive an email reminder between three months and one month before the renewal date (article L.215-1 of the French Consumer Code).
The customer may cancel at any time, free of charge, from the customer area (Stripe billing portal) or by email. Cancellation takes effect at the end of the current, already paid, yearly period. Outside articles 7 and 8, the current period is not refunded pro rata.
7. 30-day money-back guarantee
On a first subscription, any customer may request a full refund within 30 days of payment, with no justification, by email to contact@v-shield.net. The refund is made to the original payment method within 14 days and the subscription ends.
8. Right of withdrawal (consumers)
Consumers have 14 days from subscription to withdraw, without giving a reason, by sending an unambiguous statement (for example by email to contact@v-shield.net). The service starts immediately: by confirming the order, the consumer expressly requests immediate performance and acknowledges that, upon withdrawal, an amount proportionate to the service provided would be due (article L.221-25). As the guarantee in article 7 is more favourable, SADE INVEST GROUP refunds the full amount for any withdrawal within this period.
9. Customer obligations
The customer warrants holding the rights to the protected sites, provides accurate access when needed and remains responsible for the content and operation of the sites.
10. Liability
SADE INVEST GROUP has a best-efforts obligation. No security solution can guarantee that a site will never be breached: V-Shield reduces risk, detects and helps remediate. For business customers, liability is limited to the amounts paid for the subscription over the last twelve months and excludes indirect damage. For consumers, liability is governed by applicable law.
11. Personal data
See the privacy policy. For files, logs and data of protected sites, SADE INVEST GROUP acts as the customer's processor under article 28 GDPR.
12. Mediation
Disputes are first addressed in writing to contact@v-shield.net. Failing a solution within two months, consumers may refer the matter free of charge to the consumer mediator CM2C, 49 rue de Ponthieu, 75008 Paris, France, www.cm2c.net, litiges@cm2c.net.
13. Governing law
These terms are governed by French law. Disputes with business customers fall under the courts within the jurisdiction of the Toulouse Court of Appeal; consumers may also bring proceedings before the court of their place of residence.
